1. Definitions
- "Agreement" means these Terms & Conditions together with any proposal, service order, or statement of work accepted by both parties.
- "Service" means AI integration consulting, anomaly detection design, AI communication skills training, or smart scheduling optimisation provided by Minda Hub.
- "Client" / "You" means any individual or organisation that enquires about, engages, or receives our Services.
- "We" / "Us" / "Our" means Minda Hub, operating from 71 Jalan PJU 1/43, Aman Suria, 47301 Petaling Jaya, Selangor, Malaysia.
- "Content" means all materials, deliverables, documentation, and methodologies produced in the course of providing a Service.
- "Website" means mindahub.live and all associated subdomains.
2. Acceptance of Terms
By using our Website, submitting an enquiry, or engaging our Services, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree, please refrain from using our Website or engaging our Services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services.
3. Service Description
Minda Hub provides professional consulting and training services in the field of AI integration for businesses. Our current service offerings include:
- Anomaly Detection System Design — technical consulting for building anomaly detection systems tailored to your data environment and risk tolerances.
- AI Communication Skills Training — structured training programmes to help non-technical professionals engage effectively with AI topics.
- Smart Scheduling Optimisation — implementation of AI-powered scheduling systems for workforce, resource, or appointment management.
The specific scope, deliverables, timeline, and pricing for each engagement are set out in a written proposal or statement of work agreed upon before work commences.
Service availability is subject to capacity. We reserve the right to decline or defer engagements where resource constraints apply.
4. Enquiries & Proposals
Submitting an enquiry via our Website does not constitute a binding agreement. An engagement is formalised only when both parties have agreed to a written proposal or statement of work and any required deposit has been received.
Information shared during the enquiry and discovery phase is treated as confidential and will not be disclosed to third parties without your consent.
5. Client Responsibilities
To enable effective delivery of our Services, you agree to:
- Provide accurate and complete information about your business, data environment, and requirements.
- Appoint a point of contact who can make decisions and communicate feedback in a timely manner.
- Supply any data, access credentials, or system documentation required for the agreed scope of work.
- Review and respond to deliverables within agreed timeframes to avoid project delays.
- Ensure you hold appropriate rights or permissions for any data or materials you share with us.
Prohibited Activities
You agree not to use our Services or Website for any purpose that:
- Violates applicable Malaysian laws or regulations
- Infringes the intellectual property rights of any third party
- Involves the processing of personal data in breach of PDPA 2010
- Is fraudulent, deceptive, or harmful to others
- Attempts to gain unauthorised access to our systems or data
6. Intellectual Property
Our Property
All methodologies, frameworks, training materials, templates, and pre-existing intellectual property used in delivering our Services remain the property of Minda Hub. Use of these materials outside the scope of the engagement requires our written consent.
Deliverables
Upon receipt of full payment, Minda Hub grants you a non-exclusive, non-transferable licence to use the deliverables produced specifically for your engagement for your internal business purposes.
Your Data
All data and proprietary information you provide remains your property. We will not use your data for any purpose beyond delivering the agreed Services.
7. Payment Terms
Pricing is set out in the agreed proposal. Fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise stated.
Payment Schedule
- A deposit of 50% of the agreed fee is typically required before work commences.
- The remaining balance is due upon delivery of final outputs unless an alternative schedule is agreed in writing.

- Bank transfer (DuitNow or interbank transfer)
- Online banking (FPX)
- Other methods as agreed in writing
Refund Policy
Deposits are non-refundable once work has commenced. If a project is cancelled before commencement, the deposit may be refunded at our discretion, less any administrative costs incurred. Refund requests for completed deliverables are assessed on a case-by-case basis.
Late Payment
Overdue invoices may incur a late payment charge of 1.5% per month on the outstanding balance. We reserve the right to pause or withhold delivery of work pending payment.
8. Service-Specific Terms
Anomaly Detection System Design
The systems we design are based on the data patterns, risk tolerances, and infrastructure details you provide. The performance of the resulting system depends significantly on the quality and representativeness of the data supplied. We are not responsible for outcomes arising from inaccurate or incomplete data provided by the client.
AI Communication Skills Training
Training programmes are designed for professional development purposes. Outcomes depend on participant engagement and application. The programme is eligible for HRD Corp claims; however, we do not manage the claim process on your behalf unless agreed separately. Training content is delivered in English or Bahasa Malaysia as specified in the proposal.
Smart Scheduling Optimisation
Implementation requires access to your existing scheduling data, constraints, and calendar systems. Scope changes arising from undisclosed constraints or system limitations discovered mid-project may affect the timeline and cost. Any material scope changes will be documented and agreed before additional work proceeds.
9. Disclaimers
Our Services are provided on a professional best-efforts basis. While we bring relevant expertise to each engagement, we do not warrant that the outputs of our Services will achieve any specific business result.
Information on our Website is provided for general reference purposes and does not constitute professional or technical advice for any specific situation.
We are not liable for decisions made based on website content viewed outside the context of a formal engagement.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Minda Hub's total liability to you for any claim arising from or related to our Services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of business, data, revenue, or profit, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes liability for personal injury or death caused by our negligence, or for fraudulent misrepresentation.
11. Termination
Either party may terminate an engagement with 14 days' written notice, subject to payment for all work completed to the date of termination.
We may suspend or terminate access to our Services immediately if you breach these Terms in a material way, fail to pay amounts due, or engage in conduct harmful to us or third parties.
Upon termination, provisions relating to intellectual property, payment, confidentiality, disclaimers, and limitation of liability shall continue to apply.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any disputes arising from or related to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Selangor, Malaysia.
We encourage parties to resolve disputes informally in the first instance. If a dispute cannot be resolved through good-faith discussion within 30 days of notice, either party may refer the matter to mediation through the Malaysian Mediation Centre before pursuing litigation.
13. General Provisions
- Entire Agreement: These Terms, together with any agreed proposal or statement of work, constitute the entire agreement between the parties regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or subcontract portions of the Services provided the overall quality is maintained.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.
- Force Majeure: Neither party shall be liable for delays or failures arising from circumstances beyond reasonable control, including natural disasters, government actions, or widespread infrastructure failures.
14. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on our Website with an updated "Last Updated" date. For active engagements, material changes will be communicated directly. Continued use of our Website or Services following publication of updated Terms constitutes acceptance.
